TACTICAL LASER DEFENSE SYSTEMS INC. (TLDS)

Operator; Platform; Acceptance of Terms
This site and store are operated by Tactical Laser Defense Systems Inc. (“TLDS,” “we,” “us,” “our”) and hosted on Shopify. By visiting the site or purchasing from us, you engage in the “Service” and agree to these Terms, plus any policies referenced here (Privacy Policy, Pre-Sale Terms, Warranty, Returns, Shipping Restrictions, Training & Safety Guidelines). If you do not agree, do not use the site or purchase. We may update Terms at any time; continued use is acceptance of changes.

Compliance With Laws (Customer Responsibility)
You alone are responsible for knowing and complying with all federal, state, local, and international laws governing purchase, possession, training, transport, and use of TLDS products. TLDS makes no representation that products or content are legal or appropriate outside the United States. You are responsible for all lawful use and any required permits or approvals.

Safety, FAA, and Permissible Use
TLDS products are optics-disruption devices (Class IIIb laser systems) intended for lawful defensive and test/training purposes per our Training & Safety Guidelines.
— Never direct any beam at aircraft (manned or unmanned) or into navigable airspace. Doing so may violate federal law and FAA regulations.
— Never use products to harass, menace, or harm people or animals; never use as an offensive weapon.
— Follow all manuals, labels, warnings, and Training & Safety Guidelines.
— Maintain safe storage, transport, and battery/CO2 handling (if applicable to future products).
— Buyer assumes all responsibility for lawful, safe operation.

Age & Eligibility
You represent you are at least the age of majority in your jurisdiction (and 21 if required by local law) and are not prohibited from owning or using the product under any law, regulation, or order.

Intellectual Property
All site content (text, images, logos, graphics, video, software, data compilations, and their compilation/arrangement) is owned by or licensed to TLDS and protected by U.S. and international IP laws. You receive a limited, revocable license for personal, non-commercial site access. No scraping, data mining, framing, derivative works, resale of content, or use of TLDS marks without our prior written consent.

License and Site Access Restrictions
You shall not: (a) use bots/scrapers; (b) copy, mirror, or frame site content; (c) collect account or card data except to complete an order; (d) upload malware or interfere with site security; (e) misrepresent your identity, age, or authority. We may terminate access for violations.

Accounts; Electronic Communications
If you create an account, safeguard credentials and limit access to your device. You are responsible for all activity under your account. By using the Service, you consent to receive notices and disclosures electronically.

Orders, Pricing, Availability; Right to Refuse
All orders are subject to acceptance. We may limit quantities, cancel orders, substitute equivalent components, correct errors (including pricing/description), or require verification. Pricing may change without notice. We may refuse sales to persons, households, regions, or jurisdictions at our discretion (including suspected fraud, export, or regulatory issues).

Pre-Sale Terms (Reference)
Pre-sales are governed by our Pre-Sale Terms and Conditions (separate page). Key points include: payment at order; 20% cancellation fee if canceled within 14 days; non-refundable after 14 days; estimated delivery January 2026; delays from tariffs, customs, logistics, or suppliers may occur; we will notify of material changes.

Shipping; Title & Risk
Title and risk of loss pass upon carrier pickup from our facility/3PL. Inspect on delivery and file carrier claims for damage/loss. Signature or adult verification may be required where permitted or required by law.

Export Controls; Territory
U.S. export laws apply (e.g., EAR/ITAR as applicable). Products may be restricted from export or re-export. We generally ship within the continental United States only and may refuse shipments to restricted locations. You agree not to export, re-export, or transfer in violation of U.S. law.

Product Changes; Specs
We may make design/material/spec changes prior to release that do not materially reduce functionality or performance. Photos/renders may differ from final shipped products due to iterative improvements.

Returns, RMA, and “Change-of-Mind”
— Dead-on-arrival/Shipping Damage: If a product arrives damaged or non-functional, request an RMA within 10 days of receipt and ship back within 5 days of RMA issuance. Upon inspection, we will replace at no charge or repair per limited warranty.
— Change-of-Mind (standard, non-pre-sale items): Notify us within 14 days of receipt; item must be unused, in original packaging with all inserts. A 10% restocking fee applies to cover shipping/handling.
— Pre-Sales: Governed by Pre-Sale Terms (20% cancellation fee within 14 days; non-refundable thereafter).
— Non-Returnable Categories (examples): items with safety-critical wear once used (e.g., body-worn armor if offered), consumables opened/used, custom-configured/engraved items, and any product used contrary to Training & Safety Guidelines.
RMA required for all returns. Mark RMA on carton exterior and include correspondence inside.

Payments & Billing
You authorize charges to your selected payment method for the full order amount (including taxes, shipping, and any add-ons). If a charge fails, your order may be suspended or canceled. You must maintain accurate account, billing, and shipping information.

Limited Warranty; Disclaimer
Except as expressly stated in the TLDS Limited Warranty accompanying the product: THE SERVICE AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. Some jurisdictions do not allow certain disclaimers; in such places, the warranty is limited to the minimum required by law.

Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TLDS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOST PROFITS, REVENUE, DATA, OR USE) ARISING OUT OF OR RELATED TO THE SERVICE OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY. TLDS’S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limits; where prohibited, limits apply to the fullest extent permitted.

Buyer Acknowledgment; Indemnification
By purchasing/using TLDS products, you certify eligibility; that you have read and will follow manuals, labels, and Training & Safety Guidelines; and that you will use products lawfully. You agree to indemnify, defend, and hold harmless TLDS and its affiliates, directors, officers, employees, and agents from any claims, losses, liabilities, damages, costs, and fees (including attorneys’ fees) arising from your breach of these Terms, misuse of products, or violation of law.

User Content; Reviews; Submissions
If you submit reviews, comments, media, or suggestions, you grant TLDS a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, publish, and display such content for marketing, support, or product improvement. We may remove content that is unlawful, infringing, or violates policy.

Optional Tools; Third-Party Links
We may provide access to third-party tools and link to third-party sites. These are provided “as is/as available” without warranties or control. We are not responsible for third-party content, terms, or practices. Review third-party policies before use.

SMS/Email Marketing (Optional)
If you opt in to TLDS marketing texts/emails: message frequency varies; carrier rates may apply; you can opt out at any time via provided STOP/UNSUBSCRIBE commands or email preferences. Opt-in is not required to purchase. We are not liable for delayed/undelivered messages.

Errors, Inaccuracies, Omissions
Content may contain typographical errors or inaccuracies (including pricing, availability, shipping estimates). We may correct errors, update information, or cancel orders affected by inaccuracies without prior notice.

Prohibited Uses
You may not use the site or products for any unlawful purpose; to violate regulations; to infringe IP; to harass, defame, or discriminate; to transmit malware; to scrape or mine data; to interfere with security features; or to attempt unsafe/illegal uses (including directing beams at aircraft or occupied vehicles).

Dispute Resolution; Arbitration; Class Waiver
— Informal Resolution: Before filing, send written notice of dispute to TLDS at [Address] with your contact info, order number, dispute description, and requested relief. We each will attempt good-faith resolution for 30 days.
— Binding Arbitration: Except small-claims or IP injunctive relief, all disputes arising from these Terms, the Service, or products shall be resolved by confidential, binding arbitration on an individual basis under the rules of the American Arbitration Association.
— No Class Actions: You and TLDS waive any right to class, collective, or representative proceedings.
— Governing Law; Venue: These Terms are governed by the laws of the State of Oregon, without regard to conflict rules. Arbitration venue shall be [Lincoln County, Oregon] or your county of residence, as permitted by AAA rules. Courts in Oregon have exclusive jurisdiction over appeals and to enforce awards.
— Time Limit: Any claim must be filed within one (1) year after it accrues.
— Opt-Out: You may opt out of arbitration within 30 days of first accepting these Terms by mailing a signed opt-out notice with your name, address, and email used for purchase to TLDS at [Address]. Opt-out does not affect prior agreements.

Severability; No Waiver
If any provision is held unlawful or unenforceable, it shall be enforced to the maximum extent permitted; the remainder remains in effect. Our failure to enforce any right is not a waiver.

Termination
We may terminate or suspend access to the Service at any time for any breach or suspected breach. Rights and obligations accrued before termination (including payment, indemnities, and limitations of liability) survive termination.

Entire Agreement
These Terms, together with policies referenced herein (Privacy Policy, Pre-Sale Terms, Warranty, Returns, Shipping Restrictions, Training & Safety Guidelines), form the entire agreement between you and TLDS concerning the Service and products and supersede prior communications.
